Sopra Club Membership Authorization

In connection with the Club Membership offered by Ocean CC, LLC, a Florida limited liability company, I hereby authorize (a) Ocean CC, LLC to automatically charge the designated payment method set forth on the Payment Method Form (the “Payment Method”) delivered herewith for payment of the annual Members Club Dues and any other charges in connection with the Members Club, including , without limitation, any applicable sales or other taxes, credit card and/or bank processing fees and charges, and (b) Ocean CC, LLC, a Florida limited liability company, to automatically charge the Payment Method delivered herewith for payment of Sopra Club Payment, including, without limitation, any applicable sales or other taxes, credit card and/or bank processing fees and charges. Pursuant to that certain Membership Invitation addressed to and received by the undersigned, I hereby agree to pay to Ocean CC, LLC the amount of the annual Members Club Dues, which are subject to change by Ocean CC, LLC from time to time in its sole and absolute discretion. Unless otherwise defined, all capitalized terms used herein shall have the meaning ascribed hereto in that certain Sopra Members Club Plan (the “Members Club Plan”).

I acknowledge that the Sopra Members Club Payment and all annual Members Club Dues, Members Club Account balances and any other charges incurred in connection with the Members Club Membership (including, without limitation, any applicable sales or other taxes, credit card and/or bank processing fees and charges) will be automatically charged against my Payment Method and I hereby authorize such automatic billing by Ocean CC, LLC. I acknowledge that any declined payments may be subject to fees, charges and/or suspension or termination of the Club Membership as more fully set forth in the Members Club Documents. I further acknowledge that I will be entitled to Members Club Account charge privileges for so long as my Club Membership is in good standing. I certify that the Payment Method is issued to me and I am the authorized signer of such Payment Method. I understand that (i) I am obligated to keep a valid Payment Method on file with Ocean CC, LLC, to which I authorize the collection and payment of any amounts incurred in connection with the Club Membership, and (ii) in the event that Ocean CC, LLC is unable to recover any such amounts pursuant to a valid Payment Method or for any other reason, I am responsible for the payment of any such amounts in accordance with the terms and conditions of the Members Club Documents. For a voidance of doubt, I acknowledge and agree that Ocean CC, LLC in its sole and absolute discretion, reserves the right to require a Member to update and/or provide a new Payment Method from time to time.

Upon signing this Club Membership Authorization, I authorize Ocean CC, LLC to investigate my eligibility and qualifications for membership in the Members Club. In furtherance of the foregoing, I authorize all persons and entities contacted by Ocean CC, LLC pursuant to such an investigation to disclose and release to Ocean CC, LLC all requested personal information relating to my eligibility and qualifications for membership in the Members Club and agree to indemnify and hold harmless Ocean CC, LLC from any and all such acts. I acknowledge that the collection, use, and sharing of my personal information will be governed by the club privacy policy.

I hereby acknowledge receipt of the Membership Invitation, the Membership Application, the Payment Method Form and this Club Membership Authorization, as well as a copy of the Members Club Plan (collectively, the “Members Club Documents”) and, having read and understood the contents thereof, agree to be bound by and comply with all terms and conditions of the Members Club Documents applicable to Members and Candidates now in effect or as the same may be changed, amended and/or revised from time to time in the sole and absolute discretion of Ocean CC, LLC.
